B2B PLATFORM TERMS AND CONDITIONS SINMED
Effective date: from January 1, 2026

I. PRELIMINARY PROVISIONS

1. These Terms and Conditions define the principles of providing electronic services and the terms of use of the B2B online purchasing platform, available at sinmedplus.pl, hereinafter referred to as the "Platform".

2. The owner and administrator of the Platform is: Sinmed Sp. z o.o. ul. Graniczna 32B, 44-178 Przyszowice, e-mail: biuro@sinmed.pl, entered in the register of entrepreneurs kept by the District Court in Gliwice, 10th Commercial Division of the National Court Register under number KRS: 0000636444, Tax ID: 6312665250, REGON: 365567681.

II. GLOSSARY OF TERMS (DEFINITIONS)

The terms used in these Terms and Conditions mean:

1. Service Provider / Seller – Sinmed Sp. z o.o.
2. Client / Service Recipient – an entity conducting business activity that uses the Platform for purposes directly related to its business or professional activity.
3. B2B Platform – an online service at sinmedplus.pl, enabling online wholesale orders.
4. Account – individual Client's administrative panel, created after Registration and verification by the Service Provider.
5. Login – Client's e-mail address provided during the Registration process.
6. Password – unique string of characters set by the Client for access authorization.
7. Cart – functionality enabling the compilation of Goods before placing an Order.
8. GTS – General Terms of Sale applicable at Sinmed Sp. z o.o., constituting an integral part of concluded contracts.

III. TYPES AND SCOPE OF ELECTRONIC SERVICES

1. The Service Provider provides the following services free of charge:
   - presentation of commercial offer (product catalog),
   - management of Client's Account,
   - provision of interactive Order form (Cart).

2. The agreement for Account management is concluded for an indefinite period from the moment of Account activation confirmation by the Service Provider.

IV. REGISTRATION AND ACCOUNT MANAGEMENT

1. Access to full functionality (wholesale prices, placing Orders) requires an active Account.

2. In order to create an Account, the interested entity should submit an application to: biuro@sinmed.pl. The application must include: Full company name, Tax ID, Registered office address, contact person details (first name, last name, e-mail, phone).

3. Submitting the application is tantamount to accepting the Terms and Conditions and GTS.

4. After data verification (usually within 24-48h on business days), the Client receives Account activation confirmation.

5. The Client is obliged to keep the password confidential.

6. Account resignation is possible at any time by sending an e-mail to: biuro@sinmed.pl.

V. PLACING ORDERS AND CONTRACT CONCLUSION PROCEDURE

1. Information on the Platform constitutes an invitation to conclude a contract (it is not an offer within the meaning of the Civil Code).

2. The Client submits a purchase offer by clicking the button finalizing the order (e.g., "I order with payment obligation").

3. The contract is concluded upon receipt by the Client of an e-mail message confirming acceptance of the Order for execution.

VI. ELECTRONIC SERVICES COMPLAINT PROCEDURE

1. Complaints regarding Platform operation (technical problems, login errors) should be directed to: biuro@sinmed.pl.

2. The complaint should include company data and problem description.

3. The Service Provider considers technical complaints within 30 days.

VII. CLIENT'S OBLIGATIONS AND PROHIBITION OF UNLAWFUL CONTENT

1. The Client is obliged to use the Platform in accordance with the law and good customs.

2. It is prohibited to provide unlawful, vulgar content or content infringing copyrights.

3. It is forbidden to interfere with the Platform's source code or use malicious software.

VIII. THREATS AND SECURITY

1. The Service Provider uses an SSL certificate to secure data transmission.

2. Clients are advised to use up-to-date antivirus software and change passwords regularly.

3. Important: Sinmed never asks for passwords in e-mail messages.

IX. TECHNICAL REQUIREMENTS

For proper operation, the following are necessary:
• Device with Internet access.
• Current browser (Chrome, Firefox, Edge, Opera, Safari).
• Enabled Cookies and JavaScript support.

X. DATA PROTECTION AND INTELLECTUAL PROPERTY

1. Data processing principles are defined in the Privacy Policy available at sinmedplus.pl.

2. Materials on the Platform (photos, descriptions) are protected by copyright.

3. The Client receives a free license to use photos and descriptions of purchased Goods solely for the purpose of their further resale. Modification of materials without Sinmed's consent is prohibited.

XI. FINAL PROVISIONS

1. The Terms and Conditions may be changed for important reasons (change of law, system modernization). Clients will be notified of changes 14 days in advance.

2. In matters not regulated herein, the GTS and provisions of the Civil Code shall apply.

3. Disputes will be resolved by the court having jurisdiction over the Service Provider's registered office (Gliwice).

4. These Terms and Conditions enter into force on January 1, 2026.
